Start with the legal form

An Egyptian limited-liability company, joint-stock company and other entity can distribute management and signing authority differently. Confirm the form, then read the documents that identify managers, representatives and any joint-signature rule. Do not carry a rule from one entity into another because the trade name looks similar.

What belongs in the authority file?

  1. A current commercial-register extract matching the company’s name and number
  2. The listed managers or representatives and whether signing is individual or joint
  3. The articles, incorporation records and decisions changing management or authority
  4. A power of attorney or delegation, its scope, duration and covered obligation
  5. The signer’s identity and match to the register or delegation
  6. Any approval required from a partner, board or internal committee

Why “I am the manager” is not the answer

A manager may change, a delegation may expire or the constitutional document may require two signatures. Day-to-day management may also differ from authority to sell an asset, borrow, create security or settle a major obligation. The current register, internal resolution and delegation form one authority chain.

For your company or the counterparty

Record who requested the signature, what obligation is being created and which document proves authority.
